Terms of Service for NorthStar Stream Studio

1. Introduction and Acceptance of Terms

These Terms of Service (the “Terms”) govern your access to and use of the services, websites, platforms, content, and related offerings provided by NorthStar Stream Studio (“NorthStar Stream Studio,” “we,” “us,” or “our”), a stream-studio business located at 2150 W 4th Ave, Vancouver, BC V6K 1N6, Canada.

By requesting, booking, purchasing, accessing, or using any of our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

These Terms apply to all clients, customers, guests, attendees, speakers, contributors, and any other persons who interact with our services, whether directly or indirectly.

2. Scope of Services

NorthStar Stream Studio provides professional media production and streaming services, which may include, without limitation:

• Live event streaming;
• Multi-camera studio production;
• Podcast recording and editing;
• Webinar hosting support;
• Branded graphics and overlays;
• Remote guest connection setup;
• Post-production video editing.

We may provide services in-studio, on-location, remotely, or through third-party platforms and tools. Service specifications, deliverables, timelines, technical requirements, and pricing may be set out in a proposal, statement of work, invoice, booking confirmation, or other written agreement between the parties.

We reserve the right to modify, suspend, or discontinue any service offering at any time, subject to any existing written commitments.

3. User Obligations and Responsibilities

You agree to provide accurate, complete, and timely information necessary for us to perform the services. You are responsible for ensuring that all materials, instructions, approvals, and content you provide are lawful and do not infringe the rights of any third party.

You further agree that you will:

• Obtain all necessary permissions, consents, releases, and licenses for any content, music, images, logos, trademarks, likenesses, or recordings you supply or request us to use;
• Ensure that any guests, speakers, participants, or attendees are informed of and consent to recording, streaming, and publication where required by law;
• Comply with all applicable laws, regulations, platform policies, venue rules, and safety requirements;
• Not use our services for unlawful, defamatory, harassing, hateful, fraudulent, obscene, or infringing purposes;
• Provide any required equipment, access credentials, internet connectivity, or technical prerequisites unless otherwise agreed in writing;
• Review and approve deliverables promptly where approval is required to avoid delays.

You are solely responsible for the accuracy, legality, and appropriateness of the content you supply or authorize us to publish, stream, edit, or distribute.

4. Payment Terms and Conditions

Fees for services will be set out in our proposal, estimate, invoice, booking confirmation, or other written agreement. Unless otherwise stated, all fees are quoted in Canadian dollars (CAD) and are exclusive of applicable taxes, including GST/HST/PST where applicable.

Unless otherwise agreed in writing:

• A deposit or advance payment may be required to confirm a booking;
• Invoices are due upon receipt or within the payment term stated on the invoice;
• Late payments may result in suspension of services, withholding of deliverables, rescheduling, or cancellation;
• You are responsible for any bank charges, chargeback fees, currency conversion fees, or payment processing fees imposed by your financial institution or payment provider.

If payment is not received when due, we may charge interest on overdue amounts at the maximum rate permitted by applicable law, or if no such rate is specified, at a reasonable commercial rate. We may also recover reasonable costs of collection, including legal fees and administrative expenses, to the extent permitted by law.

Any changes to the scope of work, rush requests, additional revisions, overtime, travel, venue fees, third-party platform costs, or extra technical support may result in additional charges.

5. Cancellation and Refund Policy

Cancellations and rescheduling requests must be made in writing. Because our services often require advance preparation, staffing, equipment allocation, and reserved production time, cancellation fees may apply.

Unless otherwise stated in a written agreement:

• Deposits are non-refundable to the extent permitted by law, as they secure time and resources;
• If you cancel within a short notice period before the scheduled service date, you may be responsible for a cancellation fee or a portion of the total fee;
• If we have already incurred costs, purchased materials, or completed work, those amounts are non-refundable;
• Refunds, if any, are issued at our discretion only where required by law or expressly agreed in writing.

If we must cancel or materially reschedule due to circumstances within our control, we will use commercially reasonable efforts to offer a new date, credit, or refund for the affected portion of the services, as appropriate. We are not responsible for cancellation or delay caused by events outside our reasonable control.

6. Liability Limitations

To the fullest extent permitted by applicable Canadian law, NorthStar Stream Studio shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, or reputational harm, arising out of or related to the services or these Terms, even if we have been advised of the possibility of such damages.

Without limiting the foregoing, we are not responsible for:

• Internet outages, bandwidth limitations, platform failures, software bugs, or third-party service interruptions;
• Audio, video, lighting, or technical issues caused by client-provided equipment, venue conditions, or third-party systems;
• Delays or failures caused by inaccurate information, late approvals, or lack of access to required materials or locations;
• Content errors, omissions, or legal issues arising from materials supplied or approved by you;
• Any unauthorized access, alteration, or loss of content caused by third-party platforms or services.

To the maximum extent permitted by law, our total aggregate liability arising from or related to any service, claim, or series of related claims shall not exceed the amount paid by you to NorthStar Stream Studio for the specific service giving rise to the claim in the three (3) months preceding the event giving rise to liability, or CAD $500, whichever is greater, unless a different limitation is required by law.

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for gross negligence, wilful misconduct, or other liability that cannot lawfully be excluded.

7. Intellectual Property Rights

Unless otherwise agreed in writing, all pre-existing intellectual property owned or licensed by NorthStar Stream Studio, including templates, workflows, tools, software configurations, editing techniques, graphics frameworks, and production methods, remains our property or the property of our licensors.

Subject to full payment of all amounts due and any specific written agreement to the contrary, you will receive a limited, non-exclusive, non-transferable license to use the final deliverables we create for you for the purposes contemplated in the applicable agreement.

You acknowledge that:

• We may retain copies of project files, raw footage, project assets, and deliverables for archival, quality control, legal, and business purposes, unless otherwise agreed;
• We may use non-confidential portions of completed work, including excerpts, stills, or clips, in our portfolio, website, social media, pitch materials, or marketing, unless you object in writing or a separate confidentiality agreement applies;
• You are responsible for ensuring that any materials you provide do not infringe third-party intellectual property rights;
• No ownership of our trademarks, trade names, or proprietary materials is transferred to you.

If a separate written agreement assigns ownership of specific deliverables to you, that agreement will control to the extent of any inconsistency with these Terms.

8. Data Protection and Privacy

NorthStar Stream Studio may collect, use, disclose, store, and process personal information in connection with providing our services, communicating with clients, managing bookings, processing payments, improving operations, and complying with legal obligations. We handle personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy laws where relevant.

Personal information may include names, contact details, billing information, login credentials, voice or image recordings, and other information provided to us in the course of service delivery. We may also process personal information of guests, speakers, attendees, or other participants where necessary to provide the services.

You represent and warrant that you have obtained all necessary consents and provided all required notices for any personal information or likenesses you supply to us or ask us to process, record, stream, edit, or distribute.

We may use third-party service providers, cloud storage, streaming platforms, communication tools, and payment processors. Such providers may process information outside of Canada. By using our services, you acknowledge that data may be transferred, stored, or processed in other jurisdictions subject to their laws.

9. Force Majeure

NorthStar Stream Studio shall not be liable for any delay, failure, or interruption in performance caused by events beyond our reasonable control, including but not limited to acts of God, fire, flood, earthquake, severe weather, power outages, internet failures, labor disputes, government actions, public health emergencies, war, terrorism, civil unrest, supply shortages, equipment failure not caused by our negligence, or failures of third-party platforms or service providers.

If a force majeure event occurs, we may suspend performance, reschedule services, or modify deliverables as reasonably necessary. We will use commercially reasonable efforts to mitigate the impact of such events and resume performance as soon as practicable.

10. Changes to Terms

We may update or revise these Terms from time to time to reflect changes in our services, legal requirements, or business practices. The updated Terms will be effective upon posting or upon the date specified in the revised version, whichever is later.

Your continued use of our services after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using our services.

11. Applicable Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to them, the services, or any related transaction shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that the courts located in Vancouver, British Columbia shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the services, subject to any mandatory consumer protection or other non-waivable rights under applicable law.

13. Severability Clause

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

If any invalid or unenforceable provision can be modified to make it valid and enforceable, it shall be deemed modified to the minimum extent necessary to make it enforceable while preserving the original intent as closely as possible.
